Terms of service.

Clear, fair rules for using Brain — written so a marketer can read them, not just a lawyer.

These Terms of Service ("Terms") govern your access to and use of Brain — trybrain.io, the in-app workspace, our APIs, and any related services (the "Service") provided by Brain ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.

Eligibility and accounts

You must be at least 18 and able to enter a binding contract. Account information must be accurate and kept up to date. You are responsible for your credentials and for every action taken from your account, including by your teammates and any keys you connect.

Workspaces, seats, and roles

Each subscription is scoped to a workspace. Owners and admins control billing, integrations, and seat assignments. Your plan's seat limit and AI cap are enforced on the workspace, not per user. Adding members beyond your seat limit requires upgrading.

Plans, trial, and billing

  • 14-day free trial. New workspaces get 14 days at no charge, no credit card required. The trial ends automatically; we email you before it does.
  • Subscriptions. Plans are charged in advance, monthly or yearly, through Stripe. Renewals are automatic until you cancel.
  • Annual plans. Annual subscribers receive roughly 17% off (two months free). The annual fee is paid up front and is non-refundable for the unused portion of the term. Cancelling mid-year stops future renewals; your workspace keeps full access through the paid period.
  • Plan changes. Upgrades take effect immediately and are prorated by Stripe. Downgrades are blocked if you currently exceed the target plan's limits; reduce usage first.
  • Taxes. Prices are exclusive of taxes; any applicable taxes are added at checkout.
  • Failed payment. If a charge fails, we will retry and notify you. If the issue isn't resolved we may suspend access; your data is retained for 30 days before deletion.

AI usage and vendor costs

Brain orchestrates third-party AI and creative providers (model gateways, Arcads, Meta Ads, etc.). Plans include a workspace-level AI cap; usage above the cap may be billed at cost or paused at your choice. When you connect your own API keys, the underlying vendor invoices you directly and Brain does not mark up those charges.

Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right (including Meta's Advertising Policies and any platform you publish to).
  • Run ads for prohibited content (adult content, hateful content, weapons, prescription drugs without authorization, financial scams, deceptive offers, etc.).
  • Reverse engineer, scrape, or attempt to gain unauthorized access to the Service.
  • Send unsolicited messages, spam, or unlawful marketing.
  • Upload malware, infringing content, or content that violates someone else's privacy.

We may remove content or suspend workspaces that breach these rules, with or without notice when required by safety or legal urgency.

Your content and outputs

You retain all rights to the inputs you provide (offer, brand assets, voice, customer data) and to the outputs Brain generates for you (matrices, scripts, videos, landing pages). You grant us a limited license to host, process, and display that content solely to operate the Service and provide it back to your workspace. We do not use your private content to train third-party foundation models.

Third-party connections

The Service is designed to be plugged into your Meta Ads account, CRM (e.g. GoHighLevel), creative provider (e.g. Arcads), and model gateways. Your use of those services is governed by their own terms; we are not responsible for their availability, pricing, or actions. You can revoke any connection from the workspace settings at any time.

Beta features

Features labelled "beta", "preview", or "private beta" are provided as-is, may change or be removed without notice, and may have lower reliability than the rest of the Service.

Termination

You can cancel any time from the billing portal. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with the law. On termination, your right to use the Service ends; we will retain your data for 30 days so you can export it, then delete it (excluding backups, which rotate within 30 days).

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty about specific advertising results. Brain does not guarantee any particular ROAS, conversion rate, or business outcome.

Limitation of liability

To the maximum extent permitted by law, Brain will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or related to the Service is limited to the greater of (a) the fees you paid to Brain in the 12 months preceding the claim, or (b) USD $100.

Indemnification

You agree to indemnify and hold harmless Brain and its officers, employees, and agents from any claim arising out of your use of the Service, your content, or your breach of these Terms.

Changes to the Service or these Terms

We continuously improve the Service and may add, change, or remove features. Material changes to these Terms will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The state and federal courts located there have exclusive jurisdiction over any dispute that cannot be resolved informally.
